You can not upgrade Oracle by copying files. But even if you could it would be an extraordinarily foolish thing to attempt.

Oracle has, in great detail, published the steps for upgrading an instance on documentation available on the Oracle CD and on its websites. To attempt to do anything without RTFM is just plain masochistic if not suicidal.

Read the directions and follow them ... or please please please ... do not come here and ask us to bail you out.

And if what you find does not include running CATPROC and CATALOG you aren't reading the right thing.
