Check the following:

a) PATH points to C:\ORAWIN or wherever ORACLE "home" is
b) SET CONFIG=c:\orawin\bin - I think this is redundant for SQL*NEt V2
c) ODBC.ini has entry for the Oracle database you are trying to connect

   to and is set up correctly.
c) tsnames.ora is in ~/net/admin and has correct network parameters

   pointing to server.

I think the 3121 error is due to the PATH being incorrect
