Module Error on Instance Start

Ok, I use 7.3 on NT 4.0 . . . . .

Keep getting the "Incorrect Module . . . . . 0216 . . . . ." when I goto start the
OracleSrviceABCD service AFTER I install ABCD with Oradim73.

I've deleted the ORCL(starter) parameter files and stuff.
I've restarted the server.
I've deleted and re-created this instance like 5 times now.

what am I doing wrong ?

any help is greatly appreciated
