More accurately - recompile PL/SQL (?/rdbms/admin/utlirp), 'cause compiled 'byte code' is not compatible between 32-64 bit versions. Data inside the datablocks are compatible.

Other issues - almost nothing, except:
0. Only try to perform the conversion procedure after CLEAN shutdown of source database.
1. New backup after move ([arch]log format is incompatible) 2. Slight increase in shared pool requirements (IIRC 1-2% - all ...ADDR (raw) fields are doubled)
3. Platform specific (64-bit) one-off patches. Check the ML for that. Actually, very time consuming investigation. The alternative - do nothing, but prepare for sporadical downtimes until patches would be identified and applied (kind of joke).
