orainst is a shell file.  You should be able to do a 
#cat orainst 
and read the shell processing.  If this file is corrupt, and this file
is a text file,  I would suggest you confirm you decompressed the
archive correctly.

Have you made the file orainst readable to oracle?  Is the file owned
by root?

Does the directory /cdrom have execute permissions?  This is
essential.
