Thanks for your quick response. We are trying to do as you've instructed below and are currently getting the error messages:

ORA-01122: database file 1 failed verification check
ORA-01110: data file 1: 'D:\ORACLE\ORADATA\DIRTDT\SYSTEM01.DBF'
ORA-01292: wrong incarnation of this file - wrong creation time

We've copied over or manually edited what I think comprise all of the files you mention: admin\TESTDB\initTESTDB.ora, ora81\DATABASE\PWDTESTDB.ora

We copied over the entire oradata folder for the old database including the controls files and datafiles.

Can you help point out anything else?

Maybe we can go about this some other way, but I don't know. We've got the entire folder that contains our Oracle installation. If there were some way to tell Win2k that the software is already installed that seems like an option as well, but I have no idea how to do that.
