Migrate WebDB 2.1 to 2.2 w/o CD

Must be a trick to using the WebDB 21-22 upgrade I downloaded from OTN.
Had
the same problem with the downloaded version of 20-21. The
"upgrad22.cmd"
would not take the command parameters. I first set Oracle_Home to
d:\orant,
then type in the commands, just like the instructions in the readme.txt,
and
all I get is a repeat of the instructions, on screen, then:
...
Upgrade terminated.
ECHO is off.
C:\WINNT\PROFILES\tugman\DESKTOP\UPGRAD22\upgrade\webdb\21-22>
When I received the CD version of 2.1 from OTN Internet servers
technology
track, well, the CD version worked fine, migrated 2.0 to 2.1 no problem.
SO, WHAT'S THE TRICK????? for migrating 2.1 to 2.2 without a CD?
