Take a look at the IBM Mogration Toolkit at http://www-306.ibm.com/software/data/db2/migration/mtk/?S_TACT=105AGX42&S_CMP=MGST (watch for wrapping url)

It does a decent job of many conversion items, but depending upon the complexity of your stored procs, you'll still have alot of work to do. I found the toolkit to be a great jumpstart though and it has come a long way in the last year.
