Oracle 10g Enterprise Manager licence question

Hi,

We're running 10g on HPUX and was wondering whether the is a required licence for EM.
We are currently licensed per processor (24 CPU superdome).

I realise this is a bit of a stupid question, but some of my colleagues think we need one, some don't. Just looking for the definitive answer...
