It's the new parameter file, replaces the [still available] init.ora, but contains binary data. It is updated by the server so that you can ALTER stuff at the system level at run time and those changes can survive db shutdowns if you want. It should never be edited manually.

Because Oracle set it up that way.

Read up in the Concepts Manual and Administrator's Guide. Ditto for question 1 - you want to know how to convert back and forth between pfile and spfile
