AFAIK, the database is fine during this kind of upgrade. However, the software (and therefore instance) is radically different and and the '98 stuff will not work properly for long (if at all). So YES, you need to install a new copy of the database software!

I am assuming you used a certified version of the Oracle RDBMS for Windows98 (the last certified one was 9.0.1). Hopefully you are very comfortable with the conceptual difference between 'Database' and '[database] Instance'.

You may have noted the install and README documents discuss the significant variations between the '98 version and the other cousins.

Standard tactics indicate a) backup (in this case I also recommend a full export here as well); b) install new s/w into new ORACLE_HOME; c) use the upgrade facility in the new ORACLE_HOME to manage the database upgrade. Read the INSTALL document and README carefully!
