Why import with ROWS=N and then import with ROWS=Y? Skip the first part....

Upgrading via export/import is one of the methods that Oracle mentions in the Oracle 9i Migration Guide. It is a good read and should be done by anyone attempting to upgrade an Oracle database. It answers these questions and more.

That being said, Daniel is right that this is lots of work. The upgrade scripts are much quicker. And if you don't want to do it manually, then use the Database Upgrade Assistant GUI tool to do it for you. All three methods (export/import, manually, UA) are all discussed at length in the docs.
