Problem with Export/Import

Hello all, I'm hoping for a little help.

Export from Oracle 8.0.4
Direct Path
Buffer= 102400 (but shouldn't matter since direct path??)

Try to import to 8.1.7
But get:

IMP-00051: Direct path exported dump file contains illegal column length
IMP-00008: unrecognized statement in the export file:
  M-~M-^?^A

....and on and on.....
Most have what appears to be ctrl-M, but file was ftp'ed in binary mode. IMP-00008: unrecognized statement in the export file:

Also have a character set difference:
import done in US7ASCII character set and WE8ISO8859P1 NCHAR character set import server uses WE8ISO8859P1 character set (possible charset conversion) export server uses US7ASCII NCHAR character set (possible ncharset conversion)

Any suggestions?
