If you truly mean "clone" as in exact duplicate, then the easiest way is to shutdown PROD and copy all data files, control files, init files, redo logs, archive logs, and network configuration files to the other server. Then restart PROD.

However, life seldom allows us the easy path. In that case, you might want to look at the Oracle white paper "Cloning Oracle Applications Release 11i with Rapid Clone" (will probably wrap) --
