What operating system? If some form of Windows (NT, Win2k) check for use of TNS_ADMIN registry setting and/or environment variable. If it exists, it can tell Oracle to look somewhere else for TNS config files including LISTENER.ORA. And it behaves differently for different releases of Oracle. Check the docs for more info.
