When I lookup my password file, I notice:
1) It is named pwd<SID>.ora - yours seems to violate that.
2) it is located in %ORACLE8i_HOME%\database by default - you seem to
create
it in %ORACLE8i_HOME%\bin.
I would suggest to copy your file over to %ORACLE8i_HOME%\database,
and retry. If it still doesn't work, try renaming it, following the
pwd<SID>.ora
naming convention.
I must admit, my password was created by oradim, not orapwd. Should not make any difference, don't you think?
