This is nothing to worry about. When you issue the SHUTDOWN command, the instance is shutdown and the database is closed. We take all our cold backups that way, and we have verified our ability to restore them. We are also running 7.3.4 on NT 4.

The services do stay running, and someone at Oracle support once explained to me the reason for that, and the details behind it, but I don't recall anything now.

If you think of the services as being different from the instance, things begin to make more sense.
