On NT, use the oradim80 utility to start the second instance. Use the "advanced" option to specify the database creation parameters. Alternatively, oradim80 can also be run with command line arguments. You can then issue the CREATE DATABASE command in svrmgr80 when oradim80 has started the instance.

Yes and no! You can use the same listener for both instances. You just need to register the second instance with the listener. You can create further listeners if you want but you would only do this if the rate of connection requests is too high for the first listener to cope with promptly enough.
