exp80 error

Sirs,

        I am getting the following errors when starting the OracleAgent Service on Windows NT server. 1.
'The instruction at "0x78001799" referenced memory at
"0x00000005". The memory could not be "written".' 2.
'Error 2140: An internal windown NT error occured'

Also,

        When I run exp80 either on the command line or through Enterprise Manager, I get message similar to 1. above; except that 'The memory could not be "read".'

Kindly tell me what Error 2140 is and
how this problem could be overcome.
