The installation guide for your OS should have a chapter devoted to doing just this. (I know the Unix's I've done it on all do.)

Basically its:
:shutdown
:backup !!!!!!!!
:check for symbolic links under old oracle_home
:copy init{sid}.ora to new oracle_home/dbs directory (and config{sid}.ora if
u use it)
:edit init{sid}.ora and change any hard coded directorys and any directorys
referenced by ? (eg ?/admin/dump) to poing to new oracle_home. Especially change the ? to hard code the path to the new oracle_home.
:check the location of the control files is Ok, and any ifiles.
:change your ORACLE_HOME to new directory
:upgrade database objects using the installer that came with the NEW
version.

The times I've done it it was pretty painless, apart from the stress levels ;-)
