What about the parameter file? How is the memory allocated in your SGA? How much database tuning have you done so far? Should check the performance of your database by gathering the relevant statistics: I.e. Sorts, hit ratio, etc.

You will need to tune your database such that both NT and Oracle are running within the 64 Mb of memory you have (64 may not be enough....)
