set your environment to WE8MSWIN1252 before importing: assuming MS Win platform both sides:
C:\> set nls_lang=.WE8MSWIN1252
c:\> imp file=....

This will prevent the characterconversion

As to your other problems - are 8i Spatial and 9i spatial compatible?!?
