The main difference is that OEM works together with the Oracle Intelligent Agent on the Server to provide the ability to trap events (database going down, tablespace running out of space) and to run scheduled programs like backup and export. OEM is mainly geared at DBAs.
TOAD on the other hand, which is an acronym for Tool for Oracle *Application Developers* has none of these features. On the other hand it has support for Visual Source Safe, a graphical query builder and other options geared at developers.
