Search on the phrases "32-bit 64-bit" on MetaLink and you'll see plenty
of docs that do talk about exactly how to do this, for E-Biz 11i and
non-E-Biz databases.

For E-Biz, look at note #197031.1...

yes, there is a little bit error which the docs doesn't talk about.

so , just run these sequence:
- startup upgrade
- utlirp
- catupgrd
- utlrp

the database is e-business 11i

I have an SR open on that very document.  It has been open for several
months waiting for internal response.

If you use that method, test it very carefully.

Others have said that it does work, but the wording in that
document can at times be misleading.

You should probably upgrade to 10.2.0.3 on the 32 bit platform.
Migrating to 64 bit and upgrading simultaneously is just asking for trouble.
