Yes, I believe you are correct. Here's what it says under "Special-Use Licensing"
(http://download.oracle.com/docs/cd/B19306_01/license.102/b14199/edition
s.htm#CJAHFHBJ):  

"A separate Oracle Database can be installed and used as a Oracle Enterprise Manager Grid Control (OEM Grid Control) repository without additional license requirements, provided that all the targets
(databases, applications, and so forth) managed in this repository are
correctly licensed. This database may also be used for the RMAN repository. It may not be used or deployed for other uses."

I believe grid control is free with EE but not 100% sure. I am meeting our Oracle sales rep today, I can ask that question.
