RE: Db. Upgrade Assistant - any bad stories?

I was told that the tool creates, and uses, SPFILE after the upgrade...

I used it recently on a W2K box, worked fine, no problems, no hassles... took a while to do the upgrade so don't panic if it seems to be taking a long time
